Terms & Conditions

Please read these Terms and Conditions carefully before using the YAASH Tech LLC website or engaging our services. By accessing our website or entering into a service agreement with us, you agree to be bound by these terms.
1. Services
YAASH Tech LLC provides software engineering, cloud infrastructure, DevOps, AI development, and related technology services as described in individual Statements of Work (SOW) or service agreements. The scope, timeline, and deliverables for each engagement are defined in a written agreement signed by both parties.
2. Intellectual Property
Upon full payment of all fees, YAASH Tech assigns to the client all intellectual property rights in the deliverables created specifically for the client. YAASH Tech retains ownership of pre-existing tools, frameworks, methodologies, and background IP incorporated into the deliverables, and grants the client a non-exclusive license to use them.
3. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. YAASH Tech will not disclose client information to third parties without prior written consent except as required by law or as necessary to perform the services.
4. Payment Terms
Payment terms are specified in each SOW or service agreement. Unless otherwise specified, invoices are due within 30 days of issuance. Late payments may incur interest at the rate specified in the agreement. YAASH Tech reserves the right to suspend services for accounts that are more than 30 days past due.
5. Limitation of Liability
To the maximum extent permitted by law, YAASH Tech's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months preceding the claim. YAASH Tech is not liable for indirect, incidental, consequential, or punitive damages.
6. Warranty
YAASH Tech warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Any warranty period for specific deliverables will be specified in the applicable SOW. This warranty does not cover defects caused by client modifications or misuse.
7. Termination
Either party may terminate a service agreement upon written notice as specified in the applicable SOW. Termination fees and wind-down provisions, if applicable, will be defined in each agreement. All undisputed fees incurred prior to termination remain due and payable.
8. Governing Law
These terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
9. Modifications
YAASH Tech reserves the right to update these Terms and Conditions at any time. Continued use of our website or services after changes constitutes acceptance of the revised terms.
